IDEAL HOLDINGS S.A. (the "Company") announces in accordance with the provisions of articles 9, 10, 14 and 21 of Law 3556/2007, that consequently to the issuance of 7,869,000 new, common, nominal, voting shares of the Company on 29.09.2023, which resulted from the increase of its share capital by cash payment, with the exemption of the existing shareholders’ preemption rights in favor of the indirect/ultimate shareholders of the acquired company under the name “KT Golden Retail Venture LTD”, which holds a 100% of the share capital of the Greek company under the name “ATTIKA POLIKATASTIMATA A.E.” and following Company’s announcement pursuant to paragraph 5 of article 9 of Law 3556/2007 on 26.09.2022, regarding the amount of the share capital and the total number of shares and voting rights, the Company received the following notifications:
1. The company “Y-HOLDINGS LIMITED” on 02.10.2023, notified the Company on behalf of itself and of its controlled company “Υ-CAPITAL HOLDINGS LIMITED” that:
a)The company “Υ-CAPITAL HOLDINGS LIMITED” participated in the above-mentioned Company’s share capital increase and now directly holds 3,868,000 voting rights attached in shares of the Company, which correspond to a percentage of 8.06% of the total voting rights of the Company and that,
b) The company “Υ-CAPITAL HOLDINGS LIMITED” is directly controlled by the company “Y-HOLDINGS LIMITED” which now indirectly controls 3,868,000 voting rights which correspond to a percentage of 8.06% of the total voting rights of the Company.
2. Mr.Konstantinos Tsouvelekakis on 02.10.2023 notified the Company that he and Mrs. Sofia Vachari-Tsouvelekaki control: a) the company “SOREAL S.A.” which directly holds 75,000 voting rights attached in shares of the Company and b) the company “Y-HOLDINGS LIMITED” which controls the company “Υ-CAPITAL HOLDINGS LIMITED” which directly controls 3,868,000 voting rights of the Company. Due to a relevant agreement between them, Mr. Konstantinos Tsouvelekakis indirectly controls 3,943,000 voting rights which correspond in total to a percentage of 8.22% of the total voting rights of the Company.
